Anthropic's IPO Explained: What the S-1 Filing Reveals
Investing Platform · 28 October 2026 · 8 min read

On 26 October 2026 (US time), Anthropic filed a registration statement on Form S-1 with the US Securities and Exchange Commission (SEC) for a proposed initial public offering (IPO) of Class A common stock (Anthropic 26 Oct 2026). The offering described in Anthropic's S-1 includes a public offering in Australia, to be made under a separate Australian Prospectus (Anthropic S-1 26 Oct 2026).
What did Anthropic file on 26 October 2026?
Anthropic, a Delaware public benefit corporation (PBC) incorporated in January 2021, has applied to list its Class A common stock on the Nasdaq Global Select Market under the symbol "ANT" (Anthropic S-1 26 Oct 2026).
Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC are the representatives of the underwriters, and J.P. Morgan, Citigroup, Barclays and Macquarie Capital are among the other banks named on the S-1 cover, which lists 22 banks in all (Anthropic S-1 26 Oct 2026).
The offering includes shares sold by selling stockholders, and Anthropic will not receive any proceeds from those shares (Anthropic S-1 26 Oct 2026).
What does the Anthropic S-1 say about Australia?
The offering includes public offerings in Australia, Canada, certain member states of the European Economic Area, Japan, Switzerland and the United Kingdom (Anthropic S-1 26 Oct 2026). The Anthropic S-1 states that the Australian offer will be made under a separate Australian Prospectus, which the S-1 says is to be lodged with the Australian Securities and Investments Commission (ASIC) (Anthropic S-1 26 Oct 2026). The S-1 says it is not itself a prospectus or other disclosure document under Chapter 6D.2 of the Corporations Act 2001; an offer in Australia made under the S-1 may only be made to "sophisticated investors" or "professional investors" within the meaning of section 708, or under another exemption in section 708, and any other investor who wishes to take part must apply under the Australian Prospectus (Anthropic S-1 26 Oct 2026).
The filing adds: "We do not currently intend to list our Class A common stock on any exchange in such jurisdictions." (Anthropic S-1 26 Oct 2026)
Capital Brief reported that the Anthropic IPO Australia offer documents had yet to be lodged with ASIC, and that Anthropic's bankers will need to set a price range before that can happen (Capital Brief 27 Oct 2026).
What do the revenue and loss figures show?
Revenue, in US dollars, was $41 million in 2023, $386 million in 2024 and $4.6 billion in 2025 (Anthropic S-1 26 Oct 2026). Revenue was $16,286 million for the six months to 30 June 2026, up 1,300% from $1,163 million a year earlier (Anthropic S-1 26 Oct 2026).
Anthropic said it does not expect revenue to keep growing at comparable rates, and cannot assure that it will continue to grow at all (Anthropic S-1 26 Oct 2026).
Net loss was US$80,748 million for the six months ended 30 June 2026 (Anthropic S-1 26 Oct 2026). That loss included a $72.4 billion change in the fair value of convertible notes, derivative liabilities and simple agreements for future equity (SAFEs), driven mainly by a higher enterprise valuation (Anthropic S-1 26 Oct 2026).
Anthropic had more than 11,900 customers with US$100,000 or more of revenue on a trailing twelve months (TTM) basis as of 30 September 2026 (Anthropic S-1 26 Oct 2026).
Who owns and controls Anthropic?
Amazon, Google and Microsoft, through their affiliates, are equity investors in Anthropic as well as its cloud service providers and customers (Anthropic S-1 26 Oct 2026). After the conversion of preferred stock and convertible notes described in the S-1, Amazon and Google will each hold more than five percent of outstanding capital stock, as non-voting Class N common stock (Anthropic S-1 26 Oct 2026).
The Long-Term Benefit Trust (LTBT), designed to operate as an independent body of five financially disinterested trustees, holds one share of Class T common stock and generally has the authority to elect and remove the Class T directors, who together will make up a majority of the board (Anthropic S-1 26 Oct 2026).
Immediately before the offering completes, a single share of Class F common stock will be issued to a Founder LLC whose initial sole members will be the seven co-founders (Anthropic S-1 26 Oct 2026). On matters submitted to stockholders generally, including the election of directors other than the Class T directors, that share carries 50.1% of total voting power, which limits Class A holders to 49.9% (Anthropic S-1 26 Oct 2026).
Anthropic says it is considered a controlled company under Nasdaq governance requirements (Anthropic S-1 26 Oct 2026).
What will the IPO money be used for?
Net proceeds are intended for general corporate purposes, including investments in compute and infrastructure and the hiring and retention of highly skilled personnel (Anthropic S-1 26 Oct 2026). Anthropic does not have agreements or commitments for any material acquisitions or investments at this time (Anthropic S-1 26 Oct 2026).
What risks does the S-1 flag?
The risk factor summary lists securing adequate compute, intense competition, and AI models that may behave in unintended, misaligned or autonomous ways (Anthropic S-1 26 Oct 2026). It also flags reliance on a limited number of cloud service providers and suppliers, some of which are also investors and customers, which could create conflicts of interest (Anthropic S-1 26 Oct 2026).
The filing also flags voting power concentrated with the LTBT and the Founder LLC, and a PBC duty to balance interests that may conflict with financial returns (Anthropic S-1 26 Oct 2026).
Anthropic's three most recent lettered funding rounds before the IPO filing
| Date announced | Round | Amount raised (US dollars) | Post-money valuation (US dollars) | Source |
|---|---|---|---|---|
| 2 Sep 2025 | Series F | $13 billion | $183 billion | (Anthropic 2 Sep 2025) |

| 28 May 2026 | Series H | $65 billion | $965 billion | (Anthropic 28 May 2026) |
These are the post-money valuations Anthropic announced for each round, not an offer price; the S-1 leaves the estimated offer price range blank (Anthropic S-1 26 Oct 2026).
What is CBA's link to Anthropic?
Commonwealth Bank of Australia (CBA) valued its unlisted stake in Anthropic at A$1,527 million as at 30 June 2026, up from A$153 million at 30 June 2025 (Commonwealth Bank 12 Aug 2026). CBA said the value was "determined with reference to the price of Anthropic's most recent funding round completed in May 2026, in which the Group did not participate" (Commonwealth Bank 12 Aug 2026).
What has not been set yet?
The number of shares to be offered and the price range have not yet been determined (Anthropic 26 Oct 2026). The registration statement has not yet become effective (Anthropic 26 Oct 2026).
Yahoo Finance reported that Anthropic has not announced a date for its first day of trading, but is aiming to debut the week of 16 November, according to reports from The Wall Street Journal and Reuters (Yahoo Finance 27 Oct 2026). That timing is reported; the S-1 leaves the share delivery date blank (Anthropic S-1 26 Oct 2026).
