1. Investment Risks
Private investments are inherently speculative and involve a high degree of risk. Investors should be prepared to lose their entire investment. Past performance is not indicative of future results.
Key risks include, but are not limited to:
- Illiquidity: Private market investments are typically illiquid. There may be no secondary market for these securities, and investors may be unable to sell or transfer their interests for an extended period.

Property opportunities listed on the Platform carry additional risks specific to direct property purchase, including:
- Completion risk: Off-the-plan developments may be delayed or fail to complete; sunset-clause rescission may release either party from the contract.
- Settlement risk: A lender's valuation of the completed property may be below the contract price, requiring the purchaser to fund the shortfall.
- Construction defect risk: Build quality, structural defects, and statutory-warranty enforcement are matters between the purchaser and the developer/builder.
- State taxes and FIRB: Stamp duty, land tax, foreign-purchaser surcharges and FIRB approval obligations are the purchaser's responsibility and may change between contract and settlement.
- Counterparty risk: Developer insolvency before completion can result in delayed or failed settlement.
2. Platform Role & Limitations
This platform operates exclusively as an aggregator and information conduit. We facilitate access to investment opportunities but do not participate in the investment process beyond providing information and connectivity to fund issuers.
We expressly do not:
- Hold, manage, or have custody of any client funds or securities
- Provide personal financial advice, recommendations, or investment guidance
- Act as a fund manager, investment manager, or fiduciary
- Guarantee the accuracy, completeness, or timeliness of information provided by fund issuers
- Guarantee any investment returns or outcomes
- Conduct due diligence on behalf of investors
- Verify the financial status or accreditation of investors beyond stated requirements
All fund investment decisions are made directly between the investor and the relevant fund issuer. All property purchase decisions are made directly between the purchaser and the developer or vendor under their own contract for sale of land. The platform bears no responsibility for the performance, conduct, construction outcomes, or representations of any fund, issuer, developer, or vendor listed on the platform.
3. Regulatory Disclosure
This platform operates as a Corporate Authorised Representative (CAR No. 001311723) of Mondari Capital Group Pty Ltd, which holds Australian Financial Services Licence (AFSL) No. 294138.

4. Eligible Investors
4.1 Fund Opportunities — Wholesale Eligibility
Access to fund opportunities on this platform is restricted to wholesale and sophisticated investors as defined under the Corporations Act 2001 (Cth).
To qualify, you must meet at least one of the following criteria:
- Product Value Test (s761G(7)): The investment amount is at least $500,000.
- Net Assets Test (s761G(7)(c)): You have net assets of at least $2.5 million, certified by a qualified accountant.
- Gross Income Test (s761G(7)(c)): You have gross income of at least $250,000 per annum for each of the last two financial years, certified by a qualified accountant.
- Professional Investor (s708(11)): You hold an AFSL, are a listed entity, a registered scheme, or otherwise meet the professional investor criteria.
- Sophisticated Investor (s708(8)): You have been certified by a qualified accountant as having sufficient experience in financial products to understand the risks involved.
By accessing investment materials for a fund opportunity, you represent and warrant that you meet the applicable eligibility criteria and understand the heightened risks associated with wholesale investment products.
4.2 Property Opportunities — General Public Eligibility
Residential property opportunities listed on the Platform are made available under referral arrangements with participating developers and are not subject to the wholesale-client gate in section 4.1. To register and to be referred to a property opportunity you must be at least 18 years of age and capable of entering a binding contract under Australian law. Identification and other on-boarding checks may apply.
5. Projections & Performance
All target returns, projections, and performance estimates displayed on this platform are provided by the respective fund issuers and are for illustrative purposes only.
These figures:
- Are not guaranteed and should not be relied upon as indicative of future performance
- Are based on assumptions that may not be realised
- Do not account for fees, taxes, or other costs that may reduce actual returns
- May differ materially from actual results
- Are subject to market conditions, economic factors, and other variables beyond anyone's control
Past performance of any fund, issuer, or investment strategy is not a reliable indicator of future performance. Investors should conduct their own analysis and not rely solely on projected returns when making investment decisions.
6. Due Diligence Requirements
Investors are solely responsible for conducting their own due diligence on any investment opportunity accessed through this platform.
We strongly recommend that investors:
- Read all offering documents: For fund opportunities, carefully review the Information Memorandum (IM), Product Disclosure Statement (PDS), or other offering materials provided by the fund issuer. For property opportunities, carefully review the contract for sale of land, the developer's disclosure documents (including the vendor statement / section 32 / section 52A document as applicable in your jurisdiction), and any project brief or sales materials.
- Seek professional advice: Consult with qualified legal, tax, and financial advisers before making any investment decision.
- Verify information independently: Do not rely solely on information provided through this platform. Independently verify all material facts with the fund issuer.
- Assess suitability: Consider whether any investment is appropriate for your personal circumstances, risk tolerance, and investment objectives.
- Understand the terms: Ensure you fully understand the terms, conditions, fees, and risks associated with each investment before committing capital.
The platform does not provide due diligence services and makes no representations regarding the suitability, accuracy, or completeness of any investment opportunity listed.
7. Testimonials & Reviews
Testimonials, reviews, and investor experiences displayed on this platform reflect the personal opinions and experiences of individual investors.
These testimonials:
- Are not representative: Individual experiences may vary significantly and should not be considered representative of all investor outcomes.
- Are not guarantees: Past investor experiences do not guarantee similar results for future investments or investors.
- May be compensated: Some testimonials may have been provided in exchange for compensation or other benefits, although we endeavour to disclose such arrangements where applicable.

8. Platform Fees
The Investing Platform may receive fees, commissions, or other forms of remuneration from fund issuers or product providers whose opportunities are listed on this platform. These commercial arrangements are a standard part of how the platform operates and sustains its services.
These arrangements do not affect the investment returns published on this platform. All target returns, performance figures, and yield information displayed are as stated by the relevant fund issuer and reflect the returns available to investors. Platform remuneration is separate from and does not diminish the returns quoted to investors.
The existence of a commercial relationship between the platform and a fund issuer does not constitute a recommendation, endorsement, or preferential treatment of any listed product. Listing on this platform should not be interpreted as an indication of quality, suitability, or merit of any investment opportunity.
Investors should refer to the offering documents provided by each fund issuer — including the Information Memorandum (IM) or Product Disclosure Statement (PDS) — for a complete breakdown of all fees, costs, and charges applicable to each investment.
For property opportunities, the Platform receives marketing fees from participating property developers or aggregators where a referred party proceeds to a purchase. These fees are paid by the developer or aggregator and do not increase the price the purchaser pays. Full details of this arrangement are set out in the Residential Property Referral Notice.
9. Potential Interest in a Project
Investors should be aware that the platform, its directors, and/or its authorising licensee may hold a financial interest in one or more projects listed on this platform. This may include direct or indirect equity, debt, or other financial participation in a listed investment opportunity.
Similarly, in future transactions facilitated through or listed on this platform, the platform entity (Figure 8 Capital Pty Ltd, ABN 49 681 113 100), its directors, related parties, or the authorising licensee may acquire, hold, or dispose of an interest in those projects.
Where such interests exist, they are managed in accordance with ASIC Regulatory Guide 181 (Managing Conflicts of Interest) and the conflict management obligations under section 912A(1)(aa) of the Corporations Act 2001 (Cth). The platform maintains appropriate arrangements to ensure that any such interests do not compromise the integrity or objectivity of the information presented to investors.
The existence of an interest does not constitute a recommendation to invest, nor does it alter the general advice nature of the information provided. Investors should conduct their own independent assessment of each opportunity and seek professional advice before making any investment decision.
10. Data Collection & Privacy
Investing Platform collects personal information necessary to operate the Platform and connect investors and prospective property purchasers with the opportunities listed. The categories we collect include:
- Identity and contact information — name, email, phone, address, date of birth, identification documents
- Financial information — income, net assets, and other information required to verify wholesale-investor status for fund opportunities
- Property-purchase information — budget, deposit capacity, mortgage calculator inputs, financing preferences where you engage with property opportunities
- Usage data — device, browser, IP address and approximate location, pages visited, interactions with the Platform
- Account credentials — kept under secure access controls
Information is used to operate the Platform, verify your investor status where applicable, refer property enquiries to participating developers under our marketing arrangements, communicate with you about your account, comply with regulatory obligations, and prevent fraud.
We share information with fund issuers (when you express interest in a fund opportunity), property developers and vendors (when you express interest in a property opportunity, under our referral and marketing arrangement), service providers (hosting, analytics, customer support), and where required by law or regulatory authority.
You have rights under the Privacy Act 1988 (Cth) to access, correct, and request deletion of your personal information, and to complain to the Office of the Australian Information Commissioner (OAIC).
